Ethical conduct: Suppliers shall conduct business with integrity, fairness and transparency, and comply with the highest business ethics standards and relevant Chinese laws and regulations.

信息安全：供应商必须高度重视信息安全，严格遵守中国《网络安全法》、《数据安全法》、《个人信息保护法》及行业相关要求。

Information security: Suppliers must attach great importance to information security and strictly comply with China's Cybersecurity Law, Data Security Law, Personal Information Protection Law and relevant industry requirements.

管理体系：供应商应建立并维护有效的管理体系，以支持本准则各项要求的持续实施和改进。

Management systems: Suppliers shall establish and maintain effective management systems to support the continuous implementation and improvement of the requirements of this Code.

监督与执行：供应商应对本准则进行定期自我评估，并接受我司的相关审核；如供应商违反本准则，则需接受并采取相应的纠正措施。

Monitoring and enforcement: Suppliers shall conduct periodic self-assessments against this Code and accept related audits by our Company; in the event of a breach, suppliers must accept and take corresponding corrective measures.

序言
Preamble

本行为准则旨在明确我们对供应链合作伙伴在商业道德、社会责任和环境保护方面的要求。我们致力于与供应商建立长期、稳定、互信的合作关系，共同推动行业的可持续发展，为建设智慧能源社会贡献力量。所有为江苏林洋能源股份有限公司（以下简称“我司”）提供产品、服务或材料的供应商（以下简称“供应商”）都必须遵守本准则。

This Code of Conduct sets out our requirements for supply chain partners in terms of business ethics, social responsibility and environmental protection. We are committed to building long-term, stable and mutually trusting cooperative relationships with suppliers, jointly promoting the sustainable development of the industry and contributing to a smart energy society. All suppliers providing products, services or materials to Jiangsu Linyang Energy Co., Ltd. (hereinafter "our Company") (hereinafter "Suppliers") must comply with this Code.

1 雇佣实践
1 Employment Practices

供应商必须尊重所有员工的合法权益，提供公平、安全、非歧视性的工作环境，并严格遵守中国相关法律法规（如《中华人民共和国劳动法》、《中华人民共和国劳动合同法》、《中华人民共和国妇女权益保障法》、《中华人民共和国未成年人保护法》、《中华人民共和国残疾人保障法》等）。

Suppliers must respect the legitimate rights and interests of all employees, provide a fair, safe and non-discriminatory working environment, and strictly comply with relevant Chinese laws and regulations (such as the Labor Law, the Labor Contract Law, the Law on the Protection of Women's Rights and Interests, the Law on the Protection of Minors, and the Law on the Protection of Persons with Disabilities of the People's Republic of China).

1.1. 禁止强迫劳动 严禁任何形式的强迫劳动、抵债劳动、契约劳动或非自愿的监狱劳动。员工应享有自由流动的权利。

1.1 Prohibition of Forced Labor: Any form of forced labor, bonded labor, indentured labor or involuntary prison labor is strictly prohibited. Employees shall enjoy the right to freedom of movement.

1.2. 禁止童工 不得雇佣任何未满16周岁的童工（符合中国法律规定的最低就业年龄）。对于16-18周岁的未成年工，必须严格遵守国家关于未成年工特殊保护的规定，限制其从事有害工种和加班，并提供必要的健康检查。

1.2 Prohibition of Child Labor: No child labor under the age of 16 (the minimum working age under Chinese law) shall be employed. For juvenile workers aged 16 to 18, the national provisions on special protection of juvenile workers must be strictly observed, restricting them from hazardous work and overtime and providing necessary health examinations.

1.3. 禁止歧视 在招聘、薪酬、培训、晋升、解雇或退休等所有雇佣环节中，禁止基于种族、肤色、年龄、性别、性取向、性别认同、婚姻状况、生育情况、国籍、民族、宗教、残疾、政治派别、工会成员身份或任何其他受法律保护的特征进行歧视。

1.3 Prohibition of Discrimination: In all employment processes including recruitment, compensation, training, promotion, dismissal and retirement, discrimination based on race, color, age, gender, sexual orientation, gender identity, marital status, reproductive status, nationality, ethnicity, religion, disability, political affiliation, trade union membership or any other legally protected characteristic is prohibited.

1.4 公平薪酬与工作时间
1.4 Fair Compensation and Working Hours

1.4.1支付的工资应至少满足当地法定最低工资标准，并能满足员工基本生活需要。

1.4.1 Wages paid shall at least meet the local statutory minimum wage standard and be sufficient to meet employees' basic living needs.

1.4.2加班工资应严格按照国家规定支付（通常为正常工资的150%、200%或300%）。

1.4.2 Overtime pay shall be paid strictly in accordance with national regulations (normally 150%, 200% or 300% of normal wages).

1.4.3工作时间应符合国家关于标准工时、加班限制及休息休假的规定（如每周至少休息一天、法定节假日休假、带薪年休假等）。

1.4.3 Working hours shall comply with national regulations on standard working hours, overtime limits, rest and leave (such as at least one rest day per week, statutory holidays and paid annual leave).

1.4.4工资应按时、足额以法定货币支付给员工本人，并提供清晰易懂的工资条。

1.4.4 Wages shall be paid to employees themselves in legal currency on time and in full, with clear and understandable payslips provided.

1.5人道待遇： 尊重员工的人格尊严和人身权利。禁止任何形式的骚扰、虐待、体罚、精神或身体胁迫、威胁或侮辱性行为。

1.5 Humane Treatment: Respect employees' personal dignity and personal rights. Any form of harassment, abuse, corporal punishment, mental or physical coercion, threats or humiliating conduct is prohibited.

1.6.结社自由与集体谈判： 尊重员工依法自由结社、参加工会以及进行集体谈判的权利。供应商不得因员工合法行使这些权利而进行报复或歧视。

1.6 Freedom of Association and Collective Bargaining: Respect employees' rights to freely associate, join trade unions and engage in collective bargaining in accordance with law. Suppliers shall not retaliate against or discriminate against employees for lawfully exercising these rights.

2 健康与安全
2 Health and Safety

供应商必须为所有员工提供安全、健康的工作场所，并遵守中国《安全生产法》、《职业病防治法》及相关行业安全卫生标准（如GB/T 45001等）。

Suppliers must provide all employees with a safe and healthy workplace and comply with China's Work Safety Law, Law on the Prevention and Control of Occupational Diseases and relevant industry safety and health standards (such as GB/T 45001).

2.1 工作场所安全： 识别、评估并控制工作场所的物理、化学、生物、人机工效等潜在风险。提供必要的安全防护设备（PPE），并确保员工接受正确使用培训。保持工作场所清洁、有序和良好的通风照明。

2.1 Workplace Safety: Identify, assess and control potential physical, chemical, biological and ergonomic risks in the workplace. Provide necessary personal protective equipment (PPE) and ensure employees receive training on its proper use. Keep the workplace clean, orderly and well ventilated and lit.

2.2 事故预防与应急准备： 建立并实施有效的安全操作规程、事故预防程序和应急预案（包括火灾、化学品泄漏、自然灾害等）。定期进行安全检查和应急演练。

2.2 Accident Prevention and Emergency Preparedness: Establish and implement effective safety operating procedures, accident prevention procedures and emergency response plans (covering fire, chemical spills and natural disasters). Conduct regular safety inspections and emergency drills.

2.3职业健康： 识别和控制可能导致职业病的有害因素（如粉尘、噪音、有毒化学品、辐射等）。为员工提供必要的职业健康检查（岗前、在岗、离岗），并建立健康监护档案。

2.3 Occupational Health: Identify and control hazardous factors that may cause occupational diseases (such as dust, noise, toxic chemicals and radiation). Provide employees with necessary occupational health examinations (pre-employment, in-service and upon leaving) and establish health surveillance records.

2.4工伤与疾病管理： 依法报告工伤事故和职业病，为受伤或患病的员工提供及时有效的医疗救助和赔偿。

2.4 Injury and Illness Management: Report work injuries and occupational diseases in accordance with law, and provide timely and effective medical assistance and compensation to injured or ill employees.

2.5住宿与卫生设施： 如果供应商为员工提供住宿，应确保宿舍安全、清洁、通风，符合相关卫生标准，并提供充足的卫生设施和清洁的饮用水。

2.5 Dormitories and Sanitation Facilities: Where suppliers provide accommodation for employees, dormitories shall be safe, clean and ventilated and meet relevant hygiene standards, with adequate sanitation facilities and clean drinking water provided.

3 环境实践
3 Environmental Practices

供应商应致力于环境保护和资源的可持续利用，遵守中国《环境保护法》、《大气污染防治法》、《水污染防治法》、《固体废物污染环境防治法》等相关法律法规及国家、地方的排放标准。

Suppliers shall be committed to environmental protection and sustainable use of resources, and comply with China's Environmental Protection Law, Atmospheric Pollution Prevention and Control Law, Water Pollution Prevention and Control Law, Law on the Prevention and Control of Environmental Pollution by Solid Waste and other relevant laws and regulations, as well as national and local emission standards.

3.1环境许可与报告： 依法取得所有必要的环境许可、执照和批准文件，并按时提交合规报告。

3.1 Environmental Permits and Reporting: Obtain all necessary environmental permits, licenses and approvals in accordance with law, and submit compliance reports on time.

3.2污染防治与资源节约：
3.2 Pollution Prevention and Resource Conservation:

节能减排： 积极采取措施减少能源消耗和温室气体排放。优先采用清洁能源和节能技术。

Energy saving and emission reduction: Actively take measures to reduce energy consumption and greenhouse gas emissions, prioritizing clean energy and energy-saving technologies.

水资源管理： 节约用水，减少废水产生。确保废水在排放前经过有效处理，达到国家和地方排放标准。

Water resource management: Conserve water and reduce wastewater generation; ensure wastewater is effectively treated before discharge to meet national and local discharge standards.

废气管理： 控制生产过程中的大气污染物排放（如VOCs、粉尘等），确保达标排放。

Air emission management: Control emissions of atmospheric pollutants from production processes (such as VOCs and dust) to ensure compliance with standards.

固体废物管理： 实施“减量化、资源化、无害化”原则。对废弃物（特别是有害废物HW）进行分类、标识、安全储存、合规处置或交由有资质的单位处理。严格遵守《国家危险废物名录》及相关管理规定。

Solid waste management: Apply the principles of "reduction, resource recovery and harmlessness". Classify, label, safely store and lawfully dispose of waste (especially hazardous waste, HW), or entrust qualified entities for treatment; strictly comply with the National Catalogue of Hazardous Wastes and related regulations.

化学品管理： 安全储存、使用、处理和处置化学品，防止泄漏和污染。遵守《危险化学品安全管理条例》。

Chemical management: Safely store, use, handle and dispose of chemicals to prevent leakage and contamination; comply with the Regulations on the Safety Management of Hazardous Chemicals.

3.3 产品环保要求： 提供的产品、材料和服务应满足相关的环保法规要求（如RoHS、REACH、中国RoHS等有害物质限制要求）。鼓励采用环保材料和设计。

3.3 Product Environmental Requirements: Products, materials and services provided shall meet relevant environmental regulatory requirements (such as RoHS, REACH and China RoHS hazardous substance restrictions). The use of environmentally friendly materials and designs is encouraged.

3.4 生物多样性与自然资源： 在运营中尽量减少对生态系统和生物多样性的负面影响。遵守关于森林、水资源等自然资源保护的法律法规。

3.4 Biodiversity and Natural Resources: Minimize negative impacts on ecosystems and biodiversity in operations; comply with laws and regulations on the protection of forests, water and other natural resources.

4 道德行为
4 Ethical Conduct

供应商应以诚信、公平和透明的方式开展业务，遵守最高商业道德标准和中国相关法律法规（如《反不正当竞争法》、《反垄断法》等）。

Suppliers shall conduct business with integrity, fairness and transparency, and comply with the highest business ethics standards and relevant Chinese laws and regulations (such as the Anti-Unfair Competition Law and the Anti-Monopoly Law).

4.1诚信经营：
4.1 Integrity in Business:

禁止贿赂与腐败： 严禁向政府官员、客户（包括我方员工）或其他商业伙伴提供、承诺、给予或索取任何形式的贿赂、回扣、不正当利益或其他非法报酬。严格遵守中国《反不正当竞争法》及《刑法》关于贿赂犯罪的规定。

Prohibition of bribery and corruption: It is strictly prohibited to offer, promise, give or solicit any form of bribe, kickback, improper benefit or other illegal payment to government officials, customers (including our employees) or other business partners. Strictly comply with the Anti-Unfair Competition Law and the Criminal Law provisions on bribery offenses.

公平交易： 禁止参与价格操纵、串通投标、市场分割或其他反竞争行为。

Fair dealing: Participation in price manipulation, bid rigging, market allocation or other anti-competitive conduct is prohibited.

信息披露： 确保向我司提供的信息（如资质、质量、合规状况等）准确、真实、完整。

Information disclosure: Ensure that information provided to our Company (such as qualifications, quality and compliance status) is accurate, truthful and complete.

4.2 利益冲突： 避免可能导致或实际存在的利益冲突。供应商员工不得利用职权为其个人或其亲友谋取不正当利益。

4.2 Conflicts of Interest: Avoid potential or actual conflicts of interest. Supplier employees shall not use their position to obtain improper benefits for themselves, their relatives or friends.

4.3知识产权保护： 尊重并保护知识产权（包括专利、商标、版权、商业秘密等）。禁止非法使用或泄露我司或第三方的知识产权。

4.3 Intellectual Property Protection: Respect and protect intellectual property rights (including patents, trademarks, copyrights and trade secrets). Illegal use or disclosure of our Company's or third parties' intellectual property is prohibited.

4.4 保密义务： 对在业务往来中获知的我司的商业秘密、技术信息和客户信息等承担保密义务。

4.4 Confidentiality Obligations: Maintain confidentiality regarding our Company's trade secrets, technical information and customer information learned in the course of business.

4.5 负责任的矿产采购： 承诺供应链中使用的关键矿物（如锡、钨、钽、金、钴等）不直接或间接资助武装冲突或涉及严重人权侵犯。鼓励使用通过负责任矿产倡议（RMI）等认可机制认证的材料。

4.5 Responsible Mineral Sourcing: Commit that key minerals used in the supply chain (such as tin, tungsten, tantalum, gold and cobalt) do not directly or indirectly finance armed conflict or involve serious human rights abuses. Materials certified under recognized mechanisms such as the Responsible Minerals Initiative (RMI) are encouraged.

4.6 公平营销与广告： 进行的所有营销和广告活动应真实、准确，并遵守相关法律法规。

4.6 Fair Marketing and Advertising: All marketing and advertising activities shall be truthful, accurate and compliant with relevant laws and regulations.

5 信息安全
5 Information Security

鉴于智能电表涉及关键能源基础设施和相关数据，供应商必须高度重视信息安全，严格遵守中国《网络安全法》、《数据安全法》、《个人信息保护法》及行业相关要求。

As smart meters involve critical energy infrastructure and related data, suppliers must attach great importance to information security and strictly comply with China's Cybersecurity Law, Data Security Law, Personal Information Protection Law and relevant industry requirements.

5.1 保护敏感信息： 对从我司接收或处理的所有非公开信息（包括但不限于商业机密、技术数据、设计图纸、客户信息、个人信息、运营数据）实施严格的物理和电子保护措施，防止未经授权的访问、使用、披露、修改、破坏或丢失。

5.1 Protection of Sensitive Information: Implement strict physical and electronic protection measures for all non-public information received from or processed for our Company (including but not limited to trade secrets, technical data, design drawings, customer information, personal information and operational data) to prevent unauthorized access, use, disclosure, modification, destruction or loss.

5.2访问控制： 实施基于“最小权限原则”的访问控制机制，确保只有授权人员才能访问所需信息。

5.2 Access Control: Implement access control mechanisms based on the principle of least privilege, ensuring that only authorized personnel can access the information they need.

5.3 数据安全： 对存储和传输的数据进行加密保护（特别是在传输过程中）。在中国境内收集和产生的个人信息和重要数据，其存储和处理原则上应在境内进行。确需出境的，必须依法进行安全评估并获得批准。

5.3 Data Security: Encrypt data at rest and in transit (particularly during transmission). Personal information and important data collected and generated within China shall in principle be stored and processed domestically. Where cross-border transfer is genuinely required, a security assessment must be conducted and approval obtained in accordance with law.

5.4 产品安全： 确保提供的产品、软件和服务在设计、开发、生产和交付过程中遵循安全开发生命周期（SDL），具备必要的安全功能（如安全启动、固件签名、安全通信、访问控制等），并持续进行安全漏洞管理和修复。

5.4 Product Security: Ensure that products, software and services provided follow a secure development lifecycle (SDL) throughout design, development, production and delivery, incorporate necessary security functions (such as secure boot, firmware signing, secure communication and access control), and maintain ongoing vulnerability management and remediation.

5.5 事件响应与报告： 建立信息安全事件检测、响应和报告机制。一旦发生或疑似发生涉及我司信息或产品的安全事件（如数据泄露、网络攻击），必须立即通知我司指定的联系人。

5.5 Incident Response and Reporting: Establish mechanisms for detecting, responding to and reporting information security incidents. Upon the occurrence or suspected occurrence of any security incident involving our Company's information or products (such as data breaches or cyber attacks), the designated contact of our Company must be notified immediately.

5.6 供应链安全： 对其自身的次级供应商施加同等的信息安全要求，确保供应链整体安全可控。

5.6 Supply Chain Security: Impose equivalent information security requirements on their own sub-tier suppliers to ensure the overall security and controllability of the supply chain.

6 管理体系
6 Management Systems

供应商应建立并维护有效的管理体系，以支持本准则各项要求的持续实施和改进。

Suppliers shall establish and maintain effective management systems to support the continuous implementation and improvement of the requirements of this Code.

6.1 责任与承诺： 最高管理层应明确承诺遵守本准则，并提供必要的资源保障。

6.1 Responsibility and Commitment: Top management shall make an explicit commitment to comply with this Code and provide the necessary resources.

6.2 风险评估与尽职调查： 定期进行合规风险评估，并对自身及关键次级供应商进行尽职调查，以识别和管理潜在风险（如劳工、环境、安全、道德、信息安全风险）。

6.2 Risk Assessment and Due Diligence: Conduct periodic compliance risk assessments and due diligence on itself and key sub-tier suppliers to identify and manage potential risks (such as labor, environmental, safety, ethical and information security risks).

6.3 政策与程序： 制定、实施并传达支持本准则的内部政策和操作程序。

6.3 Policies and Procedures: Formulate, implement and communicate internal policies and operating procedures that support this Code.

6.4 培训与沟通： 向所有管理层和员工（包括临时工）提供关于本准则及其相关政策和程序的定期培训。建立畅通的沟通渠道（如举报热线），鼓励员工在保密且免遭报复的前提下报告违规行为或疑虑。

6.4 Training and Communication: Provide regular training on this Code and related policies and procedures to all management and employees (including temporary workers). Establish accessible communication channels (such as a whistleblowing hotline) and encourage employees to report violations or concerns confidentially and free from retaliation.

6.5 记录保存： 保留足以证明遵守本准则和相关法律法规的必要记录（如工时工资记录、安全培训记录、环境监测报告、许可文件等）。

6.5 Record Keeping: Retain records necessary to demonstrate compliance with this Code and relevant laws and regulations (such as working hours and wage records, safety training records, environmental monitoring reports and permit documents).

6.6 持续改进： 建立监测、审核（内部和/或外部）和评审机制，确保持续符合本准则要求，并推动绩效的不断改进。鼓励供应商寻求相关的管理体系认证（如ISO 9001, ISO 14001, ISO 45001, ISO 27001等）。

6.6 Continuous Improvement: Establish monitoring, audit (internal and/or external) and review mechanisms to ensure continued conformity with this Code and to drive continuous performance improvement. 7.1 Supplier Commitment: Suppliers shall sign a letter of commitment indicating acceptance of and compliance with all requirements of this Code.

7.2 Self-Assessment and Disclosure: Suppliers shall conduct periodic self-assessments and disclose their compliance status to our Company, including the compliance of their key sub-tier suppliers.
